(Updated) Question for Anheuser-Busch InBev: Where is the second A-B director?

We got to thinking recently…didn’t Anheuser-Busch InBev have some unfinished business that we were supposed to check into? Yes, it does.
Back on Sept. 29, InBev shareholders approved the buyout of Anheuser-Busch, and also approved the appointment of Anheuser-Busch CEO August Busch IV as a director of the combined company.
InBev also promised to name a second person from the ranks of former or current A-B directors to join the board of the world’s biggest brewer.
It’s been more than nine months since that vote. We are still waiting for word from Leuven, Belgium (or New York, or wherever Anheuser-Busch InBev’s senior leadership happen to be) about who will reinforce Busch as the second carry-over from A-B’s old regime.
“No decision has been made on the other director,” an Anheuser-Busch InBev spokeswoman told Lager Heads on June 24.
In an older post, we said InBev apparently didn’t put any time restrictions on its promise to tap another former A-B director. But now, we’re not so sure that’s true. We went back to the merger document filed with the U.S. Securities and Exchange Commission (see page 45):
InBev, after consultation with Anheuser-Busch’s board of directors, will nominate and cause to be elected two current or former directors of Anheuser-Busch (one of whom will be August Busch IV) to the board of directors of InBev, and each such director shall be confirmed for a three-year term at InBev’s next annual general meeting of shareholders. (Emphasis added.)
That meeting already happened, on April 28. We are confused, to say the least.
In any case, nine months seems like a long time to wait on this decision. A lot of key decisions are being made by Anheuser-Busch InBev’s board these days. There is an empty seat at the table, which we thought would be filled by a veteran of A-B’s board. Somebody’s voice is not being heard.
What exactly is the hold-up? We will endeavor to answer that question. Stay tuned.
