Is Fernandez the director to be named later?
We know that August Busch IV will join the InBev board after that Belgian company buys his brewery. What we don’t know is who will go on that board with him.
InBev’s press release says its board will add another “current or former” Anheuser-Busch director. Here’s my guess: It’s looking at Carlos Fernandez, the chief executive of Grupo Modelo. He resigned from A-B’s board on June 20, as the board was discussing InBev’s offer. Speculation at the time was that A-B might make an offer to buy Modelo (in which it already has a 50% stake) and that Fernandez wanted to avoid a conflict of interests.
If InBev isn’t considering Fernandez, why would it use the “current or former” language? Certainly no other former director would seem to fit the bill.
During a conference call with reporters, InBev CEO Carlos Brito dodged a question about who the director will be. But he did say that he’s been talking to Modelo about its role in the combined Anheuser-Busch InBev:
First we admire them a lot as people, we admire their results they have achieved as a company and the business and the brands they were able to develop. We intend to work together with them in building this partnership upon closing. … We don’t see any impediment coming from Modelo and we see lots of opportunity. … It’s too early to comment on any outcome, but the tone of the conversation has been very positive.
